Welcome to Zempto ("the Service"), a referral marketplace platform operated by Cirqon Technologies Limited ("Cirqon", "we", "us", or "our"), a company registered in the United Kingdom.

These Terms of Service ("Terms") govern your use of our platform. By creating an account or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Community Standards. If you do not agree, you may not use the Service.

Zempto is available to users globally, subject to local laws and restrictions. By accessing or using the Service from outside the United Kingdom, you confirm that you are doing so voluntarily and that your use of the platform complies with the laws and regulations of your jurisdiction. Cirqon Technologies Limited makes no representation that the Service or its content is appropriate or available for use in all locations.

Throughout these Terms, "Zempto", "the Service", "the platform" refer to the referral marketplace service operated by Cirqon Technologies Limited.

Zempto, operated by Cirqon Technologies Limited, provides an online marketplace that connects users who wish to share referral links ("Referees") with users seeking to use those links for benefits ("Requesters"). Our role is strictly that of a facilitator. We are not a party to any agreement between users and do not guarantee the performance or validity of any third-party referral program.

Third-Party Services

Zempto relies on third-party services including payment processors (Stripe), identity verification providers, cloud infrastructure, and other external services to operate our platform. While we select these providers carefully, Cirqon Technologies Limited is not responsible for any downtime, errors, service interruptions, or issues caused by these third-party services. Users acknowledge that disruptions to third-party services may temporarily affect their ability to use certain features of our platform.

International Users

Eligibility Requirements

• Age Requirement: You must be at least 18 years old to use Zempto. Users aged 16-17 may use the service only with verifiable parental or guardian consent.
• Legal Capacity: By creating an account, you confirm that you have the legal capacity to enter into binding contracts in your jurisdiction.
• Accurate Information: You must provide accurate, current information during registration and keep your account details up to date.

To use Zempto, you must register for an account. You agree to provide accurate, current information and to keep your account secure. You are responsible for all activity that occurs under your account.

Account Management

• Profile Information: You may choose a public username and add profile information. This information will be visible to other users.
• Account Status: You may deactivate your account at any time via Account settings, which will hide your profile and listings from public view while preserving your data.
• Verification: Optional identity verification is available to build trust and unlock enhanced features.
• Payment Methods: A valid payment method is required to make requests and use promotional features.

Cirqon Technologies Limited charges service fees to both Requesters and Referees to operate the Zempto platform. All payments are processed securely via our third-party payment partner, Stripe. By making payments, you agree to their terms of service.

Referee Service Fee

• A flat service fee of £0.99 is charged to the Referee upon approving a request. This fee covers payment processing and platform maintenance, allowing you to securely connect with the Requester.
• Listing links remains completely free. The fee only applies to successful approvals.

Requester Service Fee

• Free Tier: Your first 3 requests for links with a monetary value of £50 or less are completely free.
• Flat Fee (Low Value): After the free tier, a £1.49 fee applies to requests for links valued at £50 or less.
• Flat Fee (Non-Monetary): A £2.99 fee applies to requests for non-monetary links (e.g., points, credits, trial extensions).
• Percentage Tier 1: A 5% service fee applies to requests for links with a value between £50.01 and £200.
• Percentage Tier 2: A 10% service fee applies to requests for links valued over £200.

Additional Services

• Identity Verification: £4.99 one-time fee for ID verification service
• Boost Listing: £0.99 for 24-hour priority placement in search results
• Feature Listing: £4.99 for 7-day placement in the featured section

Sharing links is free for Referees. All promotional service fees are non-refundable once the service is rendered.

Tax Responsibilities

• Users are solely responsible for determining, reporting, and paying any applicable taxes on earnings received through the platform, including but not limited to income tax, value-added tax, or other local taxes.
• Cirqon Technologies Limited does not provide tax advice and recommends that users consult with qualified tax professionals regarding their tax obligations.
• Users acknowledge that referral earnings may constitute taxable income in their jurisdiction and agree to comply with all applicable tax laws.
• International Tax Obligations: For users outside the United Kingdom, applicable taxes may include GST, VAT, or local equivalents as per your jurisdiction's laws. Zempto does not collect or remit taxes on behalf of users outside the UK unless legally required by that jurisdiction.

General Refund Policy

• Service Fees: Referee and Requester service fees are generally non-refundable once the related service has been provided (i.e., once a referral link has been shared or a request has been approved).
• Promotional Services: Boost and Feature listing fees are non-refundable once the promotional period has begun, regardless of the promotional results achieved.
• Identity Verification: Verification fees are non-refundable once the verification process has been completed, regardless of verification outcome.

Exceptional Circumstances

• Refunds may be considered in cases of proven platform error, technical failure on our part, or fraudulent activity by other users.
• Filing a dispute does not guarantee a refund. Refunds are issued at Cirqon Technologies Limited's sole discretion based on the evidence and circumstances of each case.
• Any approved refunds will be processed to the original payment method within 5-10 business days.

To ensure user safety, privacy, and eligibility for our Dispute Resolution process, all communication between users regarding a request must occur exclusively through the Zempto on-platform chat system.

Communication Guidelines

• All user-to-user communication must use our secure chat feature
• Sharing personal contact information (emails, phone numbers, social media) is strictly prohibited
• Our AI assistant "Zeezee" is available for general platform support and guidance
• Automated content filtering prevents sharing of contact details and external links

Attempting to move conversations off-platform or share personal contact information is a strict violation of these Terms and may result in account suspension.

Identity Verification

• Users may complete optional ID verification for enhanced trust and platform benefits
• Verified users receive trust badges and increased visibility
• Identity documents are automatically deleted 30 days after successful verification

Rating and Review System

• Requesters may rate and review Referees after completed transactions
• Ratings are permanent and cannot be manipulated or artificially inflated
• Reviews must be honest, constructive, and based on actual experiences

Favorites and Preferences

• Users may save favorite Referees for future reference
• Platform customization based on interests and preferences is available

Zempto offers promotional services to increase the visibility of referral link listings:

Available Promotions

• Boost: Moves your listing to the top of search results for 24 hours
• Feature: Displays your listing in the premium featured section for 7 days

Promotional services are provided on a first-come, first-served basis. If multiple listings are featured simultaneously, they are rotated fairly to ensure equal visibility. All promotional fees are non-refundable once the service period begins.

If a transaction does not go as planned, users must first attempt to resolve the issue directly via the secure chat system. If unsuccessful, a formal dispute may be filed through the request interface.

Dispute Process

• Direct communication through on-platform chat is required first
• Formal disputes can be filed if chat resolution fails
• Evidence submission (screenshots, documentation) is supported
• Cirqon Technologies Limited acts as a neutral mediator and reviews all evidence
• Decisions are final and binding on both parties
• Filing a dispute does not guarantee a refund or specific outcome

You agree not to engage in any of the following prohibited activities, as outlined in detail in our Community Standards:

• Sharing fraudulent, unauthorized, expired, or misleading referral links
• Harassing, abusing, or discriminating against other users
• Manipulating ratings, reviews, or the platform's visibility algorithms
• Circumventing our service fee system or attempting to take transactions off-platform
• Using automated tools (bots, scrapers) to access or manipulate the Service
• Infringing on intellectual property rights of others or Cirqon Technologies Limited
• Creating multiple accounts to bypass limits or manipulate the system
• Sharing contact information or attempting to communicate outside the platform
• Misusing the AI assistant or attempting to extract proprietary information

Compliance with Third-Party Terms

Zempto provides an AI assistant ("Zeezee") to help users navigate the platform and answer common questions.

AI Assistant Terms

• The AI assistant provides general guidance and is not a substitute for human support
• AI responses are automated and may not always be perfectly accurate
• Users should not attempt to misuse or exploit the AI system
• AI conversations may be logged for quality improvement purposes
• For complex issues, users should contact human support through the Help & Support section

The Zempto platform, including its logos, design, software, and AI assistant technology, are the exclusive property of Cirqon Technologies Limited. You retain ownership of the content you post (e.g., link descriptions, reviews), but you grant Cirqon Technologies Limited a worldwide, non-exclusive, royalty-free license to use, display, and distribute that content in connection with the Service.

User Content Standards

• Lawful Content Only: Users must only post lawful content and may not upload, share, or distribute any infringing, fraudulent, misleading, or illegal materials.
• Content Ownership: Users represent and warrant that they own or have the necessary rights to all content they submit to the platform.
• Content Moderation: Cirqon Technologies Limited reserves the right to review, moderate, remove, or refuse to display any user content that violates these Terms, our Community Standards, or applicable laws.
• Prohibited Content: Content that infringes intellectual property rights, contains malicious code, promotes illegal activities, or violates third-party terms of service is strictly prohibited.

Your privacy is important to us. Zempto complies with the UK GDPR, the EU General Data Protection Regulation (EU-GDPR), and other applicable global data protection laws. Users outside the UK and EEA consent to the transfer and processing of their personal data in accordance with UK data protection standards.

We take reasonable measures to ensure compliance with relevant local privacy laws in all regions where Zempto operates, but the platform is primarily governed by UK data protection principles.

In addition to these Terms, your use of Zempto is governed by our Privacy Policy.

Key Privacy Points

• Identity verification documents are automatically deleted after 30 days
• Payment information is securely processed by Stripe and not stored on our servers
• Users can control their email notification preferences
• Account deactivation preserves data while hiding public presence
• Transaction history and earnings data are maintained for user reference and tax purposes

You agree to defend, indemnify, and hold harmless Cirqon Technologies Limited and our officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from or relating to:

• Your use or misuse of the Zempto platform and services
• Your violation of these Terms of Service or our Community Standards
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any referral program violations or disputes arising from your referral activities
• Any content or information you submit to or through the platform
• Your breach of any representations or warranties made in connection with these Terms

This indemnification obligation will survive termination of your account and these Terms.

Zempto is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Cirqon Technologies Limited is not liable for any indirect, incidental, or consequential damages. Our liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us for the specific transaction giving rise to the dispute.

Cirqon Technologies Limited is not responsible for the performance, availability, or accuracy of third-party referral programs or the actions of other users on the platform.

Cirqon Technologies Limited may terminate or suspend your account at any time, without prior notice or liability, for any reason, including for a breach of these Terms.

Enforcement Actions

• Warning: For minor or first-time infractions
• Temporary Suspension: For repeated offenses or serious violations
• Permanent Ban: For severe violations such as fraud, harassment, or systematic abuse
• Financial Penalties: Withholding payouts or reversing transactions for fraudulent activity

Upon termination, your right to use the Service will immediately cease, but your obligations under these Terms will survive termination.

Data Retention After Termination

• Cirqon Technologies Limited may retain certain data for legal compliance, fraud prevention, dispute resolution, and regulatory requirements even after account termination.
• Transaction records, dispute history, and communications may be preserved as required by law or for legitimate business purposes.
• Personal data retention will comply with our Privacy Policy and applicable data protection laws.

Cirqon Technologies Limited shall not be liable for any failure or delay in performance under these Terms that is due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, earthquakes, floods, fires, or other acts of nature
• War, terrorism, civil unrest, or other acts of violence
• Government actions, regulations, or sanctions
• Internet outages, server failures, or other technical infrastructure problems not directly caused by Cirqon Technologies Limited
• Labor strikes, lockouts, or other industrial actions
• Pandemics, epidemics, or other public health emergencies

During such events, our performance obligations will be suspended for the duration of the force majeure event, and we will make reasonable efforts to notify users of any significant service disruptions.

Cirqon Technologies Limited strives to ensure continuous availability of the Zempto platform. However, we do not guarantee uninterrupted or error-free service. Periodic maintenance, updates, or third-party outages may temporarily restrict access or functionality.

Service Interruptions

• Scheduled maintenance will be announced in advance where reasonably possible
• Emergency maintenance may occur without prior notice
• Third-party service disruptions (payment processors, cloud infrastructure, etc.) may affect platform functionality
• Database synchronization or data migration activities may temporarily impact service

Users acknowledge that such interruptions do not constitute a breach of these Terms and are not grounds for compensation. We will make reasonable efforts to notify users in advance of planned maintenance and to minimize service disruptions.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom, without regard to conflict of law principles. However, users outside the UK may have additional consumer rights under their local laws, which remain unaffected by this clause.

Cirqon Technologies Limited is a company registered in the United Kingdom, and all legal matters relating to this Service shall be governed by UK law.

For users in the European Union, EEA, or other international jurisdictions, you agree that any disputes shall first be submitted through Zempto's online dispute resolution process before any formal legal action is taken.

Governing Language

Cirqon Technologies Limited reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page, updating the "Last updated" date, and sending notice via email or in-app notification. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

For significant changes affecting fees, commissions, or user rights, we will provide at least 30 days' notice before the changes take effect.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, such provision shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or unenforceability of any other provision, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms of Service, together with our Privacy Policy and Community Standards, constitute the entire agreement between you and Cirqon Technologies Limited regarding your use of the Zempto platform and supersede all prior or contemporaneous agreements, understandings, warranties, and communications, whether written or oral, relating to the subject matter hereof.

No Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
